1. Definitions
“Admission” means the acceptance of the Participant to the Programme by INSEAD Admission Committee without the need of the Participant’s confirmation
“Agreement” means this agreement which is entered into between (1) INSEAD and the Participant where it is self-funded or (2) INSEAD and the Participant and the Company where it is Company-funded
“Company” means the company or legal entity invoiced and paying the Tuition Fee for the Participant’s participation in the Programme where it is Company-funded
“Commencement Date” means the date on which the Programme is due to commence
“Confidential Information” means any and all information or data of any type including technical, commercial or financial information transferred by one Party to the other orally or in writing and which is either identified or should be reasonably understood by the receiving Party to be confidential or proprietary to the other Party.
“Force Majeure” means any cause beyond INSEAD's control such as but not limited to, acts of God, fires, floods, earthquakes, storms, explosion, epidemic, quarantine, sabotage, riot, civil commotions, accidents, delivery delays of sub-contractors and the like
“INSEAD” means INSEAD entity offering the Programme
“Intellectual Property Rights” means all patent rights, copyrights, trade name rights, trademark rights, service mark rights, trade secret rights and other similar proprietary rights of any type, as they may exist anywhere in the world.
“Participant” means the individual who has applied to participate in the Programme and INSEAD has agreed to admit in the Programme with a written confirmation of Admission
“Personal Data” means any information relating to an identified or identifiable natural person “Programme” means the INSEAD Open Enrolment Programme which the Participant is to attend
"Third Party (ies)" mean(s) any person or entity other than INSEAD, Participant and Company (where applicable)
“Transfer” means the Participant or Company defers the Programme to another session of the Programme due to take place within 12 months of the original Programme
“Tuition Fee” means the fee payable to INSEAD in relation to the Participant’s participation in the Programme
2. Delivery of the Programme
2.1. INSEAD will use reasonable endeavour to deliver the Programme as described in the brochure and on INSEAD’s website. INSEAD shall be entitled to adapt the Programme at all times and consequently to alter the timetable, syllabus, location, number of classes, individual(s) teaching or external service providers to the Programme and method of delivery of the Programme.
2.2. INSEAD may cancel the Programme by giving the Participant and/or the Company notice in writing before the Commencement Date. If INSEAD cancels the Programme, it shall refund the Tuition Fee already paid to INSEAD.
2.3. In the event of a Force Majeure or where there is a breach of this Agreement by the Participant and/or the Company (including, without limitation, the non-payment or partial payment of Tuition Fee), INSEAD may terminate this Agreement with immediate effect without cause or prejudice at any time, and no refund of the Tuition Fee will be made.
2.4. INSEAD reserves the right, in its sole discretion, to refuse to enter into a contractual relationship with the Company. In such event, INSEAD will inform the Company accordingly.
2.5. INSEAD’s Executive Education Open Enrolment Programme does not provide Continuing Education Units credit. Upon request from Participant, INSEAD can deliver a letter validating the minimum training hours our Programme provides.

3. Participant’s Obligations
3.1. The Participant confirms that he has an excellent command of English required to participate in the Programme.
3.2. The Participant must be punctual, attend a minimum of 95% of the programme, including all lectures, sessions, workshops, practical and theoretical activities of the entire Programme as required by INSEAD, and contact the Executive Education Department if unable to attend any portion of the Programme.
3.3. The Participant must at all times behave with honesty show courtesy, consideration and respect during the course of the Programme. Participants are expected to avoid any behaviour or conduct that could be interpreted as an inappropriate behaviour by another Participant, INSEAD employees, and/or Third parties. Inappropriate behaviour may include but not exclusively: unwelcome conduct whether verbal, physical or visual that denigrates or shows hostility or aversion toward an individual including but not exclusively because of his or her gender, colour, religion, national origin, age, disability or sexual orientation.
3.4. The Participant must respect the confidentiality of all confidential information that the Participant acquires during the course of participating in the Programme and comply with all applicable laws of the territory where the Programme is delivered.
3.5. The Participant and/or the Company are responsible for getting the appropriate visa for the Participant when required.
4. Payment Terms
4.1. Upon offer of Admission to the Programme, the Participant or the Company shall pay the Tuition Fee within 30 days from the date of acceptance to the programme and in any event, before the Commencement Date. The Admission and enrolment of the Participant to the Programme is subject to full payment of Tuition Fee. Participant and Company acknowledge that place in the Programme is only secured when full payment has been made. Until and unless the Tuition Fee is paid in full, INSEAD reserves the right to suspend or exclude the Participant from attending in all or any part of the Programme.
4.2. Please note that all our tuition fees are “before taxes”, unless stated otherwise, and they are therefore subject to change. Additional taxes apply to our tuition fees, according to prevailing laws and regulations. In particular, INSEAD may have to invoice a higher amount than the one listed, to take into account any withholding tax or indirect tax applying to the payment, in accordance with the client’s local legislation.
4.3. The Participant or the Company may terminate the Agreement or request to transfer to another Programme by giving INSEAD written notice at any time to the INSEAD Executive Education Department.
4.3.1. Where the termination of the Agreement is made less than thirty (30) days before the Commencement Date, the Participant or the Company shall be liable to pay INSEAD the percentage of the Tuition Fee set out below:
• 30 to 15 days before Commencement Date: 50% of the cost of Tuition Fee.
• 14 days or less before Commencement Date: 100% of the cost of Tuition Fee.
4.3.2. In the event of a Transfer, this Agreement shall continue to apply to the transferred programme(s). In the event that there is an increase in Tuition Fee between the Programme and the transferred programme(s), the Participant where self-funded or the Company where Company-funded, agrees to pay the increase in Tuition Fee which shall be paid prior to the Commencement Date of the transferred programme in accordance with clause 4.1 above.
4.3.3. In the event of Cancellation, if the Company wishes to replace the Participant by submitting a new candidate for the Programme, the new candidate will be subject to INSEAD’s Admission process. If the new candidate for the Programme is accepted by INSEAD, no cancellation fee will apply.
4.3.4. No request for transfer to another Programme or a change in Participant will be allowed after the Commencement Date.
4.4. Where the Programme is provided to a Client who is located in the same territory of INSEAD’s Affiliate campuses, such Affiliate of INSEAD shall bill the Client directly for such Programme.
5. Intellectual Property
All Intellectual Property in materials designed and/or developed by INSEAD and utilized in the Programme, including the pedagogical outputs, platforms, webinars, video recordings and all online tools and documents developed for the purposes of student assessment, academic engagement, feedback and other curriculum related purposes shall belong to INSEAD (“INSEAD Intellectual Property”). INSEAD may use INSEAD Intellectual Property in the development of other Programmes in its general provision of academic services.
INSEAD grants the Participant a perpetual, non-exclusive, royalty-free, fully paid-up, non-transferable right and license to access, view and use the INSEAD Intellectual Property only for the purposes of receiving instruction and participating in the Programme. For the avoidance of doubt, the license granted by INSEAD does not include the rights to: transfer, sell or license INSEAD Intellectual Property to any Third Party; reuse or reproduce INSEAD Intellectual Property for any purposes including internal communication and training purposes; modify or adapt INSEAD Intellectual Property for any purpose; communicate, display, upload or publish INSEAD Intellectual Property on any medium; or use INSEAD Intellectual Property in any other way not consistent with the conducting of the Programme. Participants and the Company will observe all the legal requirements of copyright for all materials at INSEAD.
6. Loss and Damage
INSEAD cannot accept any responsibility for and hereby expressly excludes liability for any loss or damage to the Participant’s property or the Company’s property that occurs whilst the Participant is on the Programme. The Participant should take particular care not to leave personal belongings unattended at any time.
7. Personal Data
The Participant and Company hereby consent to the transfer of their Personal Data to INSEAD's representatives and divisions located outside the European Union, with the knowledge that INSEAD guarantees security and confidentiality. The transfer is supervised according to the requirements of the General Data Protection Regulation n° 2016/679/UE of April 27th of 2016. The Participant and Company acknowledge and agree that Personal Data provided to or collected by INSEAD herein or (where the application is successful) during the course of the Programme, may be used or disclosed for the purposes of admissions management; academic records; pedagogical management of the courses; improvement of the quality of the services; conduction of surveys and polls in relation to the Programme; coaching and direct marketing (subject to the Participant’s or Company’s consent); and hereby provides the authority and consent to enable INSEAD to so collect, use or disclose such Personal Data. Some of the Open Enrolment programmes may grant the participant with the Alumni status in accordance with INSEAD alumni policy. In such case, Personal Data may be used for the purposes of fundraising, due diligence, managing relations with former students, organising and managing events. The Personal Data collected on completing this application is confidential and secured and comply with local regulations. INSEAD shall not keep Personal Data for longer a period than is necessary, in relation to the purpose(s) for which the Personal Data was originally collected. The Participant and Company are granted statutory rights of access, modification, update, deletion and limitation of treatment of their Personal Data ("Loi n°78-17 du 6 janvier 1978 "relative à l'Informatique, aux Fichiers et aux Libertés" modified by the General Data Protection Regulation n°2016/679/UE of April 27th of 2016 as amended). The Participant and Company may exercise these rights at any time by writing or sending an email to INSEAD at the address indicated below, with the production of a valid proof of identity: INSEAD, Executive Education, Boulevard de Constance, 77305 Fontainebleau Cedex, France. Email: [email protected]. The Participant and Company have the right, on compelling legitimate grounds, to object to the collection and processing of their Personal Data. For more information, please refer to the Privacy Policy available on www.insead.edu.
7.1. The Participant and Company also agree that photographs and/or videos can be taken during the course of the Programme of the Participant and such photographs and/or videos can be reproduced and diffused by INSEAD. Such right shall apply whatever the media used, including but not limited to any process for the reproduction of image, in any of their present and future forms and formats, and to any audiences.
8. Governing Law and Jurisdiction
8.1. In the event of any dispute, claim, question, or disagreement arising from or relating to this Agreement or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If they do not reach such solution within a period of thirty days (30) days, then, upon notice by either Party to the other, all disputes, claims, questions, or differences shall be finally settled by litigation. The litigation shall be held in the country of the Party against whom the litigation proceedings are initiated.
8.2. The litigation will be submitted to the Company’s registered office court and under the Company’s registered office law if INSEAD or Affiliate institutes the litigation proceeding. The litigation will be submitted to INSEAD’s registered office court and under INSEAD’s registered office law if Company institutes the litigation proceeding. The decision and awards of the litigation shall be final and binding.
9. Confidentiality/ Entire Agreement/ Applicable Laws
9.1. INSEAD will respect the confidentiality of all Confidential Information it may acquire during the performance of the Programme. All Parties to the Agreement shall not divulge or communicate to any person or use or exploit for any purpose whatsoever Confidential Information of the other Parties, and each Party shall use its best efforts to prevent its employees, Affiliates or agents from so acting. Each Party may disclose the Confidential Information to its employees but only to the extent necessary to exercise its rights and perform its obligations under this Agreement. The obligations of confidence referred to in this clause shall not apply to any Confidential Information which: (i) is or becomes publicly available on a non-confidential basis through no default of the receiving Party; (ii) is received in good faith by the receiving Party from a Third Party who, on reasonable enquiry by the receiving Party has no obligations of confidence to the disclosing Party in respect of it and who imposes no obligations of confidence upon the receiving Party; (iii) is required to be disclosed by law or judicial order.
9.2. No terms and conditions included or attached by or on the Participant or Company’s behalf in any purchase order or other equivalent document shall apply to the services under this Agreement. In the event of any conflict between this Agreement and any other document executed by INSEAD and the Participant or Company, the terms of this Agreement shall prevail.
9.3 Each Party agrees to comply with all applicable laws and regulations in all locations where it conducts business and confirms that it will not breach any laws in rendering the Services. Each Party shall comply and ensure that its officers, members, employees, contractors, subcontractors, suppliers or agents ("Personnel") comply with all applicable laws, including those relating to bribery, corruption, money laundering, kickbacks, tax evasion, economic sanctions, authorizations and restrictions of chemical products, health and safety, slavery, human trafficking and modern slavery, and any other prohibited business practices, and should not engage or encourage others to engage in any illegal or illicit activities. Each Party, its subsidiaries and affiliates have not and will not offer, promise or make or agree to make any payments or gifts (of money or anything of value) directly or indirectly to anyone for the purpose of influencing, or inducing anyone to influence decisions in favour of, INSEAD or any of its subsidiaries or affiliates. Each Party that it (i) has not paid, (ii) has not made a commitment to pay and (iii) will not pay directly or through its Personnel or entities acting on its behalf any commission, payment facilitation or incentive in relation to this Agreement.

Executive Education Online Enrolment Programme Agreement

‘Affiliate(s)’ means any corporation, firm, partner, organization or entity, whether de jure or de facto, which such party directly or indirectly controls, is controlled by or is under common control with.
“Agreement” means this agreement which is entered in between (1) INSEAD and the Participant where it is self-funded; or (2) INSEAD, the Participant and the Company where it is Company-funded.
“Company” means the company or legal entity invoiced and paying the Tuition Fee for the Participant’s participation in the Programme where it is Company-funded.
“Commencement Date” means the date on which the content for week 1 of the Programme is released by INSEAD.
“Confidential Information” means any and all information or data of any type including technical, commercial or financial information transferred by one Party to the other orally or in writing and which is either identified or should be reasonably understood by the receiving Party to be confidential or proprietary to the other Party.

“Programme” means the INSEAD Online Open Enrolment Programme which the Participant is to attend.
"Third Party (ies)" mean(s) any person or entity other than INSEAD, INSEAD’s affiliates or affiliated entities, Participant and Company (where applicable).
“Transfer” means the Participant or Company defers the Programme to another session of the Programme due to take place within 12 months of the original Programme.
“Tuition Fee” means the fee payable to INSEAD in relation to the Participant’s participation in the Programme.

3. Participant’s Obligations
3.1 The Participant confirms that the Participant has an excellent command of English required to participate in the Programme.
3.2 The Participant must complete a minimum of 95% of the activities including but not limited to the watching of videos, completing of exercises such as quizzes, reflections, discussions, the Action Learning Project and any other activities specific to the programme as may be required by INSEAD.
3.3 The Participant must at all times behave with honesty show courtesy, consideration and respect during the course of the Programme. Participants are expected to avoid any behaviour or conduct that could be interpreted as an inappropriate behaviour ("Inappropriate Behaviour") by another Participant, INSEAD employees, and/or Third parties. Inappropriate Behaviour may include but not exclusively: unwelcome conduct whether verbal, physical or visual that denigrates or shows hostility or aversion toward an individual including but not exclusively because of his or her gender, colour, religion, national origin, age, disability or sexual orientation.
3.4 The Participant must respect the confidentiality of all Confidential Information that the Participant acquires during the course of participating in the Programme, and comply with all applicable laws of the territory where the Programme is delivered.
4. Payment Terms
4.1 Client agrees that the Tuition Fee shall be paid upon the application for the Programme. The Participant is provisionally accepted into the programme upon application, subject to the validation of his/her profile and learning objectives in the application by the INSEAD admissions committee. If the INSEAD admissions committee concludes that the Participant’s application does not fit the programme requirements, the Participant will be informed. In such event INSEAD will refund the Tuition Fee already paid to INSEAD.
Until and unless the Tuition Fee is paid in full, INSEAD reserves the right to suspend or exclude the Participant from attending in all or any part of the Programme.
4.2 Please note that all our tuition fees are “before taxes”, unless stated otherwise, and they are therefore subject to change. Additional taxes apply to our tuition fees, according to prevailing laws and regulations. In particular, INSEAD may have to invoice a higher amount than the one listed, to take into account any withholding tax or indirect tax applying to the payment, in accordance with the client’s local legislation.
4.3 The Participant or the Company may terminate the Agreement or request to transfer to another Programme by giving INSEAD written notice at any time to the INSEAD Executive Education Department.
If the Participant or the Company terminates the Agreement before the content of the first week is released no cancellation fee shall apply.
If the Participant or the Company terminates the Agreement after the content of the first week is released, the Client shall be liable to pay INSEAD 100% of the cost of Tuition Fee.
4.4 In the event of a Transfer, this Agreement shall continue to apply to the transferred programme(s). In the event that there is an increase in Tuition Fee between the Programme and the transferred programmes(s), the Participant where self-funded or the Company where Company-funded, agrees to pay the increase in Tuition Fee which shall be paid prior to the Commencement Date of the transferred programme in accordance with clause 4.1 above.
4.5 If the Company wishes to change the Participant by submitting a new candidate for the Programme, the new candidate will be subject to INSEAD’s Admission process. If the new candidate for the Programme is accepted by INSEAD, no Cancellation fee will apply.
4.6 No request for transfer to another Programme or a change in Participant will be allowed after the Commencement Date.
4.7 Where the Programme is provided to a Client who is located in the same territory of INSEAD’s Affiliate campuses, such Affiliate of INSEAD shall bill the Client directly for such Programme.
5. Intellectual Property
All intellectual property in materials designed and/or developed by INSEAD and utilized in the Programme, including the platforms, webinars, video recordings and all on-line tools and documents developed for the purposes of student assessment, academic engagement, feedback and other curriculum related purposes shall belong to INSEAD (“INSEAD Intellectual Property”). For the avoidance of doubt, INSEAD Intellectual Property includes the content, structure, design and format of the tools, videos, presentations and documents designed/and or developed by INSEAD and used in conjunction with the Programme. INSEAD may use INSEAD Intellectual Property in the development of other Programmes in its general provision of business education.
INSEAD grants the Participant a limited, non-exclusive, royalty-free, fully paid-up, non-transferable right and license to access, view and use the INSEAD Intellectual Property for the duration of the Programme and for a subsequent period of 6 months from the start of the Programme only for the purposes of receiving instruction and participating in the Programme. For the avoidance of doubt, the license granted by INSEAD does not include the rights to transfer, sell or license INSEAD Intellectual Property to any party, reuse or reproduce INSEAD Intellectual Property for any purposes including internal communication and training purposes, modify or adapt INSEAD Intellectual Property for any purpose, communicate, display, upload or publish INSEAD Intellectual Property on any medium, or use INSEAD Intellectual Property in any other way not consistent with the conducting of the Programme.
6. Loss and damage
The Programme is intended solely for the Participant. Any use not in accordance with its purpose, either whole or partial, is strictly prohibited. INSEAD shall and will not be liable if the Programme content is modified. INSEAD accepts no liability for any damage caused by any virus or data transmitted by the Participant.
7. Personal Information
The Participant and Company hereby consent to the transfer of their Personal Data to INSEAD's representatives and divisions located outside the European Union, with the knowledge that INSEAD guarantees security and confidentiality. 8. Governing Law and Jurisdiction
8.1 This Agreement is governed by Singapore law. In the event of any dispute, claim, question, or disagreement arising from or relating to this Agreement or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If they do not reach such solution within a period of thirty days (30) days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by litigation under the exclusive jurisdiction of the courts of Singapore. The decision and awards of the litigation shall be final and binding.
9. Miscellaneous
9.1 INSEAD will respect the confidentiality of all Confidential Information it may acquire during the performance of the Programme. All Parties to the Agreement shall not divulge or communicate to any person or use or exploit for any purpose whatsoever Confidential Information of the other Parties, and each Party shall use its best efforts to prevent its employees, Affiliates or agents from so acting. Each Party may disclose the Confidential Information to its employees but only to the extent necessary to exercise its rights and perform its obligations under this Agreement. The obligations of confidence referred to in this clause shall not apply to any Confidential Information which: (i) is or becomes publicly available on a non-confidential basis through no default of the receiving Party; (ii) is received in good faith by the receiving Party from a Third Party who, on reasonable enquiry by the receiving Party has no obligations of confidence to the disclosing Party in respect of it and who imposes no obligations of confidence upon the receiving Party; (iii) is required to be disclosed by law or judicial order.9.2 No terms and conditions included or attached by or on the Participant or Company’s behalf in any purchase order or equivalent document shall apply to the services under this Agreement. In the event of any conflict between this Agreement and any other document executed by INSEAD and the Participant or the Company, the terms of this Agreement shall prevail.
9.2 Each Party agrees to comply with all applicable laws and regulations in all locations where it conducts business and confirms that it will not breach any laws in rendering the Services. Each Party shall comply and ensure that its officers, members, employees, contractors, subcontractors, suppliers or agents ("Personnel") comply with all applicable laws, including those relating to bribery, corruption, money laundering, kickbacks, tax evasion, economic sanctions, authorizations and restrictions of chemical products, health and safety, slavery, human trafficking and modern slavery, and any other prohibited business practices, and should not engage or encourage others to engage in any illegal or illicit activities. Each Party, its subsidiaries and affiliates have not and will not offer, promise or make or agree to make any payments or gifts (of money or anything of value) directly or indirectly to anyone for the purpose of influencing, or inducing anyone to influence decisions in favour of, INSEAD or any of its subsidiaries or affiliates. Each Party that it (i) has not paid, (ii) has not made a commitment to pay and (iii) will not pay directly or through its Personnel or entities acting on its behalf any commission, payment facilitation or incentive in relation to this Agreement.

INSEAD Lead the Future: Executive Education Online Open Enrolment Programme Agreement
1. Definitions
“Admission” means the acceptance of the Participant to the Programme by INSEAD Admission Committee without the need of the Participant’s confirmation
‘Affiliate(s)’ means any corporation, firm, partner, organization or entity, whether de jure or de facto, which such party directly or indirectly controls, is controlled by or is under common control with.
“Agreement” means this agreement which is entered in between (1) INSEAD and the Participant where it is self-funded; or (2) INSEAD, the Participant and the Company where it is Company-funded.
“Company” means the company or legal entity invoiced and paying the Tuition Fee for the Participant’s participation in the Programme where it is Company-funded
“Commencement Date” means the date on which the content for week 1 of the Programme is released by INSEAD
“Confidential Information” means any and all information or data of any type including technical, commercial or financial information transferred by one Party to the other orally or in writing and which is either identified or should be reasonably understood by the receiving Party to be confidential or proprietary to the other Party.
“Force Majeure” means any cause beyond INSEAD's control such as but not limited to, acts of God, fires, floods, earthquakes, storms, explosion, epidemic, quarantine, sabotage, riot, civil commotions, accidents, delivery delays of sub-contractors and the like.
“INSEAD” means INSEAD located at 1 Ayer Rajah, Singapore 138676
“Intellectual Property Rights” means all patent rights, copyrights, trade name rights, trademark rights, service mark rights, trade secret rights and other similar proprietary rights of any type, as they may exist anywhere in the world.
“Participant” means the individual who has applied to participate in the Programme and INSEAD has agreed to admit in the Programme with a written confirmation of Admission
“Personal Data” means any information relating to an identified or identifiable natural person.
“Programme” means the INSEAD Online Open Enrolment Programme which the Participant is to attend
"Third Party (ies)" mean(s) any person or entity other than INSEAD, INSEAD’s affiliates or affiliated entities, Participant and Company (where applicable)
“Transfer” means the Participant or Company defers the Programme to another session of the Programme due to take place within 12 months of the original Programme
“Tuition Fee” means the fee payable to INSEAD in relation to the Participant’s participation in the Programme
2. Delivery of the Programme
2.1 INSEAD will use reasonable endeavours to deliver the Programme as described in the brochure and on INSEAD’s website. INSEAD shall be entitled to adapt the Programme at all times and consequently to alter the timetable, syllabus, location, number of classes, individual(s) teaching or external service providers to the Programme and method of delivery of the Programme.
2.2 INSEAD may cancel the Programme by giving the Participant and/or the Company notice in writing before the Commencement Date. If INSEAD cancels the Programme it shall refund the Tuition Fee already paid to INSEAD.
2.3 In the event of a Force Majeure or where there is a breach of this Agreement by the Participant and/or the Company (including, without limitation, the non-payment or partial payment of Tuition Fees), INSEAD may terminate this Agreement with immediate effect without cause or prejudice at any time, and no refund of the Tuition Fee will be made.
2.4. INSEAD reserves the right, in its sole discretion, to refuse to enter into a contractual relationship with the Company. In such event, INSEAD will inform the Company accordingly.
2.5. INSEAD’s Executive Education Online Open Enrolment Programme does not provide Continuing Education Units credit. Upon request from Participant, INSEAD can deliver a letter validating the minimum training hours our Programme provides.
3. Participant’s Obligations
3.1 The Participant confirms that the Participant has an excellent command of English required to participate in the Programme.
3.2 The Participant must complete a minimum of 95% of the activities including but not limited to the watching of videos, completing of exercises such as quizzes, reflections, discussions, the Action Learning Project and any other activities specific to the programme as may be required by INSEAD.
3.3 The Participant must at all times behave with honesty show courtesy, consideration and respect during the course of the Programme. Participants are expected to avoid any behaviour or conduct that could be interpreted as an inappropriate behaviour ("Inappropriate Behaviour") by another Participant, INSEAD employees, and/or Third parties. Inappropriate Behaviour may include but not exclusively: unwelcome conduct whether verbal, physical or visual that denigrates or shows hostility or aversion toward an individual including but not exclusively because of his or her gender, colour, religion, national origin, age, disability or sexual orientation.
3.4 The Participant must respect the confidentiality of all Confidential Information that the Participant acquires during the course of participating in the Programme and comply with all applicable laws of the territory where the Programme is delivered.
4. Payment Terms
4.1 Upon offer of Admission to the Programme, the Participant or the Company shall pay the Tuition Fee within 30 days from the date of acceptance to the programme and in any event, before the Commencement Date. The admission and enrolment of the Participant to the Programme is subject to full payment of Tuition Fee. Participant and Company acknowledge that place in the Programme is only secured when full payment has been made. Until and unless the Tuition Fee is paid in full, INSEAD reserves the right to suspend or exclude the Participant from attending in all or any part of the Programme.
4.2 Please note that all our tuition fees are “before taxes”, unless stated otherwise, and they are therefore subject to change. Additional taxes apply to our tuition fees, according to prevailing laws and regulations. In particular, INSEAD may have to invoice a higher amount than the one listed, to take into account any withholding tax or indirect tax applying to the payment, in accordance with the client’s local legislation.
4.3 The Participant or the Company may terminate the Agreement or request to transfer to another Programme by giving INSEAD written notice at any time to the INSEAD Executive Education Department.
If the Participant or the Company terminates the Agreement before first session no cancellation fee shall apply.
If the Participant or the Company terminates the Agreement after the first session, the Client shall be liable to pay INSEAD 100% of the cost of Tuition Fee.
4.4 In the event of a Transfer, this Agreement shall continue to apply to the transferred programme(s). In the event that there is an increase in Tuition Fee between the Programme and the transferred programmes(s), the Participant where self-funded or the Company where Company-funded, agrees to pay the increase in Tuition Fee which shall be paid prior to the Commencement Date of the transferred programme in accordance with clause 4.1 above.
4.5 If the Company wishes to change the Participant by submitting a new candidate for the Programme, the new candidate will be subject to INSEAD’s Admission process. If the new candidate for the Programme is accepted by INSEAD, no Cancellation fee will apply.
4.6 No request for transfer to another Programme or a change in Participant will be allowed after the Commencement Date.
4.7 Where the Programme is provided to a Client who is located in the same territory of INSEAD’s Affiliate campuses, such Affiliate of INSEAD shall bill the Client directly for such Programme.
5. Intellectual Property
All intellectual property in materials designed and/or developed by INSEAD and utilized in the Programme, including the platforms, webinars, video recordings and all on-line tools and documents developed for the purposes of student assessment, academic engagement, feedback and other curriculum related purposes shall belong to INSEAD (“INSEAD Intellectual Property”). For the avoidance of doubt, INSEAD Intellectual Property includes the content, structure, design and format of the tools, videos, presentations and documents designed/and or developed by INSEAD and used in conjunction with the Programme. INSEAD may use INSEAD Intellectual Property in the development of other Programmes in its general provision of business education.
INSEAD grants the Participant a limited, non-exclusive, royalty-free, fully paid-up, non-transferable right and license to access, view and use the INSEAD Intellectual Property for the duration of the Programme and for a subsequent period of 6 months from the start of the Programme only for the purposes of receiving instruction and participating in the Programme. For the avoidance of doubt, the license granted by INSEAD does not include the rights to transfer, sell or license INSEAD Intellectual Property to any party, reuse or reproduce INSEAD Intellectual Property for any purposes including internal communication and training purposes, modify or adapt INSEAD Intellectual Property for any purpose, communicate, display, upload or publish INSEAD Intellectual Property on any medium, or use INSEAD Intellectual Property in any other way not consistent with the conducting of the Programme.
6. Loss and damage
The Programme is intended solely for the Participant. Any use not in accordance with its purpose, either whole or partial, is strictly prohibited. INSEAD shall and will not be liable if the Programme content is modified. INSEAD accepts no liability for any damage caused by any virus or data transmitted by the Participant.
7. Personal Information
The Participant and Company hereby consent to the transfer of their Personal Data to INSEAD's representatives and divisions located outside the European Union, with the knowledge that INSEAD guarantees security and confidentiality. The transfer is supervised according to the requirements of the General Data Protection Regulation n° 2016/679/UE of April 27th of 2016. The Participant and Company acknowledge and agree that Personal Data provided to or collected by INSEAD herein or (where the application is successful) during the course of the Programme, may be used or disclosed for the purposes of admissions management; academic records; pedagogical management of the courses; improvement of the quality of the services; conduction of surveys and polls in relation to the Programme; coaching and direct marketing (subject to the Participant’s or Company’s consent); and hereby provides the authority and consent to enable INSEAD to so collect, use or disclose such Personal Data. The Participant also acknowledges that the Programme completion may grant him/her the alumni status in accordance with INSEAD alumni policy. In such case, Personal Data may be used for the purposes of fundraising, due diligence, managing relations with former students, organising and managing events. The Personal Data collected on completing this application is confidential and secured and comply with local regulations. INSEAD shall not keep Personal Data for longer a period than is necessary, in relation to the purpose(s) for which the Personal Data was originally collected. The Participant and Company are granted statutory rights of access, modification, update, deletion and limitation of treatment of their Personal Data ("Loi n°78-17 du 6 janvier 1978 "relative à l'Informatique, aux Fichiers et aux Libertés" modified by the General Data Protection Regulation n°2016/679/UE of April 27th of 2016 as amended). Client and Participant may exercise these rights at any time by writing or sending an email to INSEAD at the address indicated below, with the production of a valid proof of identity: INSEAD, Executive Education, Ayer Rajah Avenue Singapore 138676 or [email protected]. The Participant and Company have the right, on compelling legitimate grounds, to object to the collection and processing of their Personal Data. For more information, please refer to the Privacy Policy available on www.insead.edu..
8. Governing Law and Jurisdiction
8.1 This Agreement is governed by Singapore law. In the event of any dispute, claim, question, or disagreement arising from or relating to this Agreement or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If they do not reach such solution within a period of thirty days (30) days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by litigation under the exclusive jurisdiction of the courts of Singapore. The decision and awards of the litigation shall be final and binding.
9. Miscellaneous
9.1 INSEAD will respect the confidentiality of all Confidential Information it may acquire during the performance of the Programme. All Parties to the Agreement shall not divulge or communicate to any person or use or exploit for any purpose whatsoever Confidential Information of the other Parties, and each Party shall use its best efforts to prevent its employees, Affiliates or agents from so acting. Each Party may disclose the Confidential Information to its employees but only to the extent necessary to exercise its rights and perform its obligations under this Agreement. The obligations of confidence referred to in this clause shall not apply to any Confidential Information which: (i) is or becomes publicly available on a non-confidential basis through no default of the receiving Party; (ii) is received in good faith by the receiving Party from a Third Party who, on reasonable enquiry by the receiving Party has no obligations of confidence to the disclosing Party in respect of it and who imposes no obligations of confidence upon the receiving Party; (iii) is required to be disclosed by law or judicial order.9.2 No terms and conditions included or attached by or on the Participant or Company’s behalf in any purchase order or equivalent document shall apply to the services under this Agreement. In the event of any conflict between this Agreement and any other document executed by INSEAD and the Participant or the Company, the terms of this Agreement shall prevail.
9.2 Each Party agrees to comply with all applicable laws and regulations in all locations where it conducts business and confirms that it will not breach any laws in rendering the Services. Terms and Conditions of Virtual Coaching (“VEC Terms”)
1. Definitions
“Admission” means the acceptance of the Coachee to the Coaching Programme by INSEAD Admission Committee without the need of the Coachee’s confirmation.
“Affiliate(s)” means any corporation, firm, partner, organization or entity, whether de jure or de facto, which such party directly or indirectly controls, is controlled by or is under common control with.
“Agreement” means this Agreement, which is entered into by (i) INSEAD and the Coachee where it is self-funded; or (ii) INSEAD, the Coachee and the Company where it is Company-funded.
“Coach” means the professional coach engaged by INSEAD to coach in INSEAD Virtual Coaching and assigned for Coaching to the Coachee.
“Coachee” means the individual who has applied to participate in the Programme and INSEAD has agreed to admit in the Coaching Programme with a written confirmation of Admission.
“Coaching” or “Coaching Programme” means on-demand virtual executive coaching with one highly experienced executive Coach. The Coaching Programme consist of four (4) one-to-one virtual Coaching Sessions prepaid by Coachee upon registration. The selected Coach will be the only Coach for the Coachee throughout the four (4) Coaching Sessions.
“Coaching Fee” means the fee payable by the Coachee as applicable to INSEAD in relation to the Coachee’s participation in the Programme.
“Coaching Session” means the virtual coaching session of sixty (60) minutes scheduled by Coach and Coachee. Coach and Coachee may schedule four (4) Coaching Sessions all at once or choose to schedule one Coaching Session at a time, taking into consideration that all four Coaching Sessions shall be completed within six (6) months from Commencement Date of Coaching.
“Commencement Date of Coaching” means the date on which the content for the first Coaching Session of the Coaching Journey Programme between the Coach and Coachee is scheduled released.
“Company” means the company or legal entity invoiced and paying the Coaching Fee for the Coachee’s participation in the Coaching Journey Programme where it is Company-funded.
“Confidential Information” means all information or data, of any type including technical, commercial or financial information, transferred by one Party to the other orally or in writting, whether marked “confidential” or that is known or reasonably should have been understood by the receiving Party to be confidential.
“Force Majeure” means any cause beyond INSEAD's control such as but not limited to, acts of God, fires, floods, earthquakes, storms, explosion, epidemic, quarantine, sabotage, riot, civil commotions, accidents, delivery delays of sub-contractors and the like.
“INSEAD” means INSEAD, registered office on 1 Ayer Rajah Avenue, Singapore, 138676, acting on its behalf and on behalf of its Affiliates:

- INSEAD North America, c/o Bencivenga Ward & INSEAD, CPAs, PC, 420 Columbus Avenue, Suite 304
Geographic Scope the term INSEAD in this Agreement will refer to the INSEAD Affiliate executing the Agreement. Each separate Agreement will reflect the Applicable Law of the INSEAD entity executing the Agreement.
“Party(ies)” means INSEAD and/or the Coachee.
“Personal Data” means any information relating to an identified or identifiable natural person.
“Third Party (ies)” mean(s) any person or entity other than INSEAD, INSEAD’s Affiliates or affiliated entities, the Coach, the Coachee and Company (where applicable).
2. Delivery of the Coaching Sessions
2.1. Enrolment to Coaching Programme
Coachee shall complete an online registration form and pay the relevant Coaching Fee via card payment online. Upon registration and payment, INSEAD shall take reasonable endeavours to contact the Coachee within five (5) business days from payment and submission of the online registration form to define Coachee’s Coaching objectives. Once Coachee’s objectives are defined, INSEAD shall review and select a Coach to be assigned to the Coachee and will connect the Coach with the Coachee, allowing the Coach and the Coachee to start planning the Coaching Sessions.
2.2. Additional Coaching Sessions will be subject to the terms of this Agreement
2.3. Individual Coaching Sessions - The Coaching Sessions are private one-to-one sessions between the Coach and Coachee that may be carried out over the phone or livestreaming platforms including but not limited to Zoom, MS Teams, Skype, as agreed between the Coach and the Coachee. The content of the Coaching Sessions is confidential between Coach and Coachee.
2.4. Livestreaming of Coaching Sessions - Livestream of Coaching Sessions require Coachee and Coach to be connected to the livestreaming platforms at the same time. Coachee shall be punctual, online and connected to the livestreaming platform at the scheduled time. The Coachee shall ensure that he/she has a strong internet connection throughout the livestream sessions. The Coachee warrants he/she shall not record any audio or video of the livestreaming sessions without the consent of the Coach and INSEAD to be given in writing.
2.5. The Coach will provide in advance all relevant details of the livestream platform(s) he/she will be using to deliver the Coaching Programme. INSEAD and Coach do not guarantee that livestream will perform without errors or continuously. Specifically, INSEAD and Coach do not guarantee any level of performance of the livestream platform(s) and disclaim all liability arising from use of it and any non-performance. INSEAD and Coach shall make reasonable efforts to address technical issues. INSEAD and Coach have no responsibility whatsoever for the content, terms of use or privacy policies of Third Party services including livestreaming platforms.

2.6. Period of Coaching – The elapsed time to complete the entire Coaching Programme by the Coach and Coachee is set to six (6) months from the Commencement Date of Coaching.
2.7. Duration of Coaching Sessions - The Coaching Session lasts approximately 60 minutes per session or at such other duration that may be agreed by the Coach and the Coachee.
2.8. Coaching Session Times – Subject to no less than 48 hours’ notice, the Coachee may request to reschedule or postpone the Coaching Session. The Coaching Session may be deemed to have taken place if the Coachee gives less than 24 hours’ notice to the Coach. If the Coach cancels a Coaching Session, INSEAD and the Coach will use all reasonable endeavours to notify the Coachee at least 24 hours in advance. The Coaching Session will then be rescheduled at an agreed time.
2.9. Coaching Methods – The Coachee acknowledges that the Coaching sessions may be personally, mentally and physically challenging and that there may be occasions when the Coachee feels emotional challenges – including frustration, annoyance, or stress. The Coachee will not hold INSEAD and/or the Coach liable for any loss or cost incurred by himself/herself (or any person related to the Coachee) in the event of mental, physical, emotional stress or distress (or other ailment or condition) caused either directly or indirectly in relation to the Coaching Sessions. The Coachee shall indemnify and hold harmless INSEAD and/or the Coach in the event of any such claim.
2.10. The Coach will use reasonable endeavour to deliver the Coaching Programme with related coaching materials. INSEAD and the Coach shall be entitled to adapt the Coaching Programme at all times and consequently to alter the timetable, syllabus, location, number of sessions, Coach or external service providers to the Coaching Programme and method of delivery of the Coaching Programme.
2.11. INSEAD’s Executive Virtual Executive Coaching Programme does not provide Continuing Education Units credit. Upon request from Participant, INSEAD can deliver a letter validating the minimum coaching hours our Programme provides.
3. Coachee’s Obligations
3.1. The Coachee must attend all four Coaching Sessions to complete the Coaching Programme, following the instructions or completing the activities that may be requested by the Coach.
3.2. The Coachee must at all times behave with honesty, show courtesy, consideration and respect during the course of the Coaching Programme. Coachee is expected to avoid any behaviour or conduct that could be interpreted as an inappropriate behaviour ("Inappropriate Behaviour") by the Coach, INSEAD employees, and/or Third Parties. Inappropriate Behaviour may include but not exclusively: unwelcome conduct whether verbal, physical or visual that denigrates or shows hostility or aversion toward an individual including but not exclusively because of his or her gender, colour, religion, national origin, age, disability or sexual orientation.
3.3. The Coachee must respect the confidentiality of all Confidential Information that the Coachee acquires during the course of participating in the Coaching Programme and comply with all applicable laws of the territory where the Coaching Programme is delivered.
3.4. Coachee agrees that the Coaching Fee shall be paid via a Third-Party platform upon the application for the Coaching Programme performed available at /executive-education/virtual-executive-coaching.
3.5. Coaching Fee is non-refundable.
4. Payment Terms
4.1. INSEAD will issue the invoice for the Coaching Fee upon signature of this Agreement. Coachee or the Company shall pay the Coaching Fee within thirty (30) days from date of invoice. Until the Coaching Fee is paid in full, INSEAD reserves the right to suspend or exclude the Coachee from attending in all or any part of the Coaching Programme.
(*Please note that the Coaching Fee does not include taxes, as these may vary according to the form of delivery and the location of the Coachee or Company. In particular, note that INSEAD may have to invoice a higher amount than the one listed, to take into account any withholding tax that a Coachee or Company has to apply to the payment, in accordance with his/her local legislation).
4.2. Company may withdraw a Coachee by giving INSEAD written notice at any time to the INSEAD Executive Education Department. If Company withdraws a Coachee before the first Session of Coaching starts, no cancellation fee shall apply. If Company withdraws a Coachee after the first Coaching Session has started, INSEAD will count fully the session taken by such Coachee from the Coaching Fee. If Company wishes to change the Coachee by submitting a new candidate for Coaching, the new candidate will be subject to INSEAD’s Admission process.
4.3. No request for transfer to another Coaching Programme or a change in Coachee will be allowed after the beginning of the Coaching journey.
4.4. Where the Coaching Programme is provided to a Coachee or, if applicable, to Company who is located in the same territory of the INSEAD’s Affiliate campuses, such Affiliate of INSEAD shall bill the Coachee or the Company directly for such Coaching.
5. Intellectual Property
5.1. All intellectual property in materials designed and/or developed and/or provided by INSEAD or the Coach and utilized in the Coaching Programme, including but not limited to the platforms, processes, techniques, presentations, methodologies, precedents, video recording, materials and all on-line tools and documents developed for the purposes of assessment, academic engagement, feedback and other curriculum related purposes shall belong to INSEAD (“INSEAD Intellectual Property”). For the avoidance of doubt, INSEAD Intellectual Property includes the content, structure, design and format of the tools, videos, presentations and documents designed/and or developed by INSEAD or Coach and used in conjunction with the Coaching Programme.
6. Liability
6.1. The Coaching Programme is intended solely for the Coachee. Any use not in accordance with its purpose, either whole or partial, is strictly prohibited.
6.2. INSEAD makes no representation or warranty to the Coachee that any of the coaching methods or Coaching Sessions will fit for the Coachee’s particular circumstances. The Coachee shall not rely on advices, discussions, contents of the Coaching Programme or other information made available under this Agreement to take decisions in his or her life, whether personal or professional. The Coachee will not hold INSEAD and/or the Coach responsible for the failure (in whole or part) to achieve any or all of the Coachee’s goals.
6.3. Save for any liability that cannot be limited by law, INSEAD and Coach’s liability to the Coachee for a claim of any kind arising as a result of or in connection with this Agreement whether in contract, in tort (including negligence or strict liability), under any warranty, or otherwise, will not exceed the total Coaching Fee. INSEAD and the Coach shall not be liable for any incidental, indirect, consequential, special or punitive damages. INSEAD and the Coach shall and will not be liable if the Coaching Programme content is modified. INSEAD accepts no liability for any damage caused by any virus or data transmitted to the Coachee.
7. Personal Data
As part of the Coaching Programme, INSEAD and Coach may need to obtain the Personal Data relating to the Coachee. INSEAD and Coach may collect this personal information either via an automated survey or via email.
The Coachee and Company hereby consent to the transfer of their Personal Data to INSEAD's representatives and divisions located outside the European Union, with the knowledge that INSEAD guarantees security and confidentiality. The transfer is supervised according to the requirements of the General Data Protection Regulation n° 2016/679/UE of April 27th of 2016. The Coachee and the Company acknowledge and agree that Personal Data provided to or collected by INSEAD or Coach herein or (where the application is successful) during the course of the Coaching Programme, may be used or disclosed with the Coach to deliver the Coaching Programme, and for the purposes of regulatory compliance, admissions management, student affairs management, academic records, pedagogical management of the Coaching Sessions, improvement of the quality of the Coaching, conduction of surveys and polls in relation to the Coaching Programme, coaching and direct marketing (subject to the Coachee’s or Company’s consent);
The Personal Data collected on completing this application is confidential and secured and comply with local regulations. INSEAD shall not keep Personal Data for longer a period than is necessary, in relation to the purpose(s) for which the Personal Data was originally collected. The Coachee and Company are granted statutory rights of access, modification, update, deletion and limitation of treatment of their Personal Data ("Loi n°78-17 du 6 janvier 1978 "relative à l'Informatique, aux Fichiers et aux Libertés" modified by the General Data Protection Regulation n°2016/679/UE of April 27th of 2016 as amended). The Coachee and Company may exercise these rights at any time by writing or sending an email to INSEAD at the address indicated below, with the production of a valid proof of identity: INSEAD, Executive Education, Ayer Rajah Avenue Singapore 138676 or [email protected]. For more information, please refer to the privacy policy available at /privacy-policy. The Coachee and Company have the right, on compelling legitimate grounds, to object to the collection and processing of his/her Personal Data.
8. Termination by INSEAD
8.1. INSEAD may terminate the Agreement by giving the Coachee 2 weeks’ notice in writing before the Commencement Date of Coaching. In such case, INSEAD shall refund the Coaching Fee to the Coachee.
8.2. In the event of a Force Majeure or where there is a breach by the Coachee of this Agreement (including, without limitation, the non-payment or partial payment of Coaching Fee), INSEAD may terminate this Agreement with immediate effect without cause or prejudice at any time, and no refund of Coaching Fee will be made by INSEAD.
9. Governing Law and Jurisdiction
9.1. In the event of any dispute, claim, question, or disagreement arising from or relating to this Agreement or the breach thereof, the Parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If they do not reach such solution within a period of thirty days (30) days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by litigation. The litigation shall be held in the country of the party against whom the litigation proceedings are initiated.
9.2. The litigation will be submitted to the Coachee’s head office court and under the Coachee’s registered office law if INSEAD or its Affiliates institutes the litigation proceeding. The litigation will be submitted to INSEAD’s registered office court and under INSEAD’s registered office law if Coachee institutes the litigation proceeding. The decision and awards of the litigation shall be final and binding.
10. Confidentiality
INSEAD will respect the confidentiality of all Confidential Information it may acquire during the performance of the Coaching Programme. All Parties to the Agreement shall not divulge or communicate to any person or use or exploit for any purpose whatsoever Confidential Information of the other Parties, and each Party shall use its best efforts to prevent its employees, Affiliates or agents from so acting. Each Party may disclose the Confidential Information to its employees but only to the extent necessary to exercise its rights and perform its obligations under this Agreement. The obligations of confidence referred to in this clause shall not apply to any Confidential Information which: (i) is or becomes publicly available on a non-confidential basis through no default of the receiving Party; (ii) is received in good faith by the receiving Party from a Third Party who, on reasonable enquiry by the receiving Party has no obligations of confidence to the disclosing Party in respect of it and who imposes no obligations of confidence upon the receiving Party; (iii) is required to be disclosed by law or judicial order.
11. Miscellaneous
11.1. No terms and conditions included or attached by or on the Coachee’s or Company’s behalf in any purchase order or equivalent document shall apply to the Coaching under this Agreement. In the event of any conflict between this Agreement and any other document executed by INSEAD and the Coachee or Company, the terms of this Agreement shall prevail.
11.2. Each Party agrees to comply with all applicable laws and regulations in all locations where it conducts business and confirms that it will not breach any laws in performing this Agreement. Each Party shall comply and ensure that its officers, members, employees, contractors, subcontractors, suppliers or agents ("Personnel") comply with all applicable laws, including those relating to bribery, corruption, money laundering, kickbacks, tax evasion, economic sanctions, authorizations and restrictions of chemical products, health and safety, slavery, human trafficking and modern slavery, and any other prohibited business practices, and should not engage or encourage others to engage in any illegal or illicit activities. Each Party, its subsidiaries and affiliates have not and will not offer, promise or make or agree to make any payments or gifts (of money or anything of value) directly or indirectly to anyone for the purpose of influencing, or inducing anyone to influence decisions in favour of, INSEAD or any of its subsidiaries or affiliates. Each Party that it (i) has not paid, (ii) has not made a commitment to pay and (iii) will not pay directly or through its Personnel or entities acting on its behalf any commission, payment facilitation or incentive in relation to this Agreement.

1. Définitions
“Admission” signifie l’acceptation du Participant dans le Programme par le Comité d’Admissions de l’INSEAD, sans que le Participant n’ait besoin de confirmer sa participation.
“Accord” signifie le présent accord conclu entre (1) l’INSEAD et le Participant (en cas d’auto-financement) ou entre (2) l’INSEAD, le Participant et l’Entreprise (en cas de financement par l’Entreprise)
“ Entreprise ” signifie l’entreprise ou la personne morale facturée et versant les frais de scolarité pour la participation du Participant au Programme, lorsqu’il est financé par l’Entreprise.
“Date de début” signifie la date à laquelle le Programme doit débuter.
“Informations confidentielles” signifie toutes informations ou données de toute nature, notamment commerciales ou financières, transmises par une Partie à l’autre Partie oralement ou par écrit, et qui sont identifiées ou devraient être raisonnablement interprétées par la Partie destinataire comme étant confidentielles ou appartenant à l’autre Partie.
“Force Majeure” signifie toute cause indépendante de la volonté de l’INSEAD telle que notamment, et sans limitation, catastrophe naturelle, incendie, inondation, tremblement de terre, tempête, explosion, épidémie, mise en quarantaine, sabotage, émeute, troubles de l’ordre public, accident, retard de livraison des fournisseurs, et autres.
“INSEAD” signifie l’INSEAD offrant le Programme.
“Propriété intellectuelle” signifie tous les brevets, droits d’auteur, droits des marques, droits au nom commercial, marques de service, secrets commerciaux et autres droits de propriété intellectuelle similaires et de tout type, tels qu’ils peuvent exister partout dans le monde.
“Participant” signifie la personne ayant soumis une demande d’inscription au Programme et que l’INSEAD a acceptée en confirmant son Admission par écrit.
“Donnée personnelle” signifie toute information relative à un individu identifié ou identifiable.
“Programme” signifie l’Open Enrolment Programme de l’INSEAD que doit suivre le Participant.
"Tiers" signifie toute personne physique ou morale autre que l’INSEAD, le Participant et l’Entreprise (le cas échéant).
“Transfert” signifie que le Participant ou l’Entreprise reporte la participation à la session initiale du Programme à une session ultérieure qui doit avoir lieu dans les 12 mois qui suivent les dates de la session d’origine.
“Frais de scolarité” signifie les frais dus à l’INSEAD pour la participation du Participant au Programme.
2. Réalisation du Programme
2.1. L’INSEAD met en oeuvre tous les moyens raisonnables pour exécuter le Programme tel qu’il est décrit dans la brochure et sur le site Internet de l’INSEAD. L’INSEAD se réserve le droit d’adapter le Programme à tout moment et, par voie de conséquence, d’en modifier les horaires, le contenu, la localisation, le nombre de classes, l’enseignement, ou les prestataires extérieurs au Programme et la méthode pédagogique.
2.2. L’INSEAD peut annuler le Programme en prévenant le Participant et/ou l’Entreprise par écrit avant la Date de début. Si l’INSEAD annule le Programme, les Frais de scolarité déjà versés seront remboursés.
2.3. En cas de Force Majeure ou en cas de violation de cet Accord par le Participant et/ou l’Entreprise (y compris notamment par le non-paiement ou le paiement partiel des Frais de scolarité), l’INSEAD se réserve le droit d’annuler cet Accord avec effet immédiat, sans cause ou préjudice, à tout moment, et sans remboursement des Frais de scolarité.
2.4. INSEAD, se réserve le droit, à sa seule discrétion, de refuser de contracter avec l’Entreprise. INSEAD en informera dans ce cas l’Entreprise.
2.5. Le programme Open Enrolment d’INSEAD Executive Education n’ouvre pas droit à l’obtention d’Unités de Crédit pour l’Education Continue (Continuing Education Units credit). Sur demande du participant, l’INSEAD peut fournir une attestation confirmant le nombre minimum d’heures de formation prévues au titre du programme sus-nommé.

3. Obligations du Participant
3.1. Le Participant confirme sa bonne maîtrise de l’anglais, nécessaire à sa participation au Programme.
3.2. Le Participant doit être ponctuel, assister au moins à 95 % du programme, y compris toutes les conférences, les sessions, les ateliers appropriés, les activités pratiques et théoriques de l’ensemble du Programme tel que demandé par l’INSEAD, et contacter le Département Executive Education s’il est dans l’impossibilité de suivre une partie quelconque du Programme.
3.3. Le Participant doit, durant toute la durée du Programme, faire preuve d’honnêteté, de courtoisie, de considération et de respect. Les Participants doivent éviter tout comportement ou toute conduite qui pourraient être interprétés comme inappropriés par un autre Participant, les employés de l’INSEAD, et/ou des Tiers. Un comportement inapproprié peut inclure notamment, sans limitation : une conduite indésirable sous forme verbale, physique ou visuelle qui dénigre un individu, ou exprime hostilité ou aversion à son encontre, notamment (mais non exclusivement) en raison de son sexe, sa couleur, sa religion, sa nationalité, son handicap ou son orientation sexuelle.
3.4. Le Participant doit assurer la confidentialité de toutes les informations confidentielles qu’il aura acquises au cours du Programme et respecter l’ensemble de la législation du territoire où se déroule le Programme.
3.5. Le Participant et/ou l’Entreprise doivent obtenir le visa approprié pour le Participant, si nécessaire.
4. Conditions de paiement
4.1. A réception de l’offre d’Admission au Programme, le Participant et/ou l’Entreprise doit verser les Frais de scolarité dans un délai de 30 jours à partir de la date d’acceptation au Programme, et, dans tous les cas, avant la Date de début. L’Admission et l’inscription du Participant au Programme sont soumises au paiement intégral des Frais de scolarité. Le Participant et l’Entreprise reconnaissent que la participation du Participant au Programme n’est garantie qu’après réception de l’intégralité du paiement. Tant que les Frais de scolarité ne sont pas intégralement versés, l’INSEAD se réserve le droit de suspendre ou d’exclure le Participant de toute partie ou de la totalité du Programme.
4.2. Le Les frais de scolarité sont, sauf indication contraire, exprimés hors taxes et sont de ce fait sujets à modification. Des taxes supplémentaires sont susceptibles de s’appliquer aux frais de scolarité, en fonction des lois et règlements en vigueur. De ce fait, l’INSEAD pourra être amené à facturer un montant supérieur à celui indiqué, afin de prendre en compte une éventuelle retenue à la source ou un impôt indirect qui se révélerait applicable selon la législation locale du client.
4.3. Le participant ou l’Entreprise peuvent annuler cet Accord ou demander le transfert à un autre Programme en informant par écrit à tout moment le Département Executive Education de l’INSEAD.
4.3.1. Lorsque l’annulation de l’Accord ne se fait pas avant les trente (30) jours précédant la Date de début, le Participant ou l’Entreprise devra verser à l’INSEAD le pourcentage des Frais de scolarité tel qu’indiqué ci-après :
• 30 à 15 jours avant la Date de début : 50% du total des Frais de scolarité.
• 14 jours ou moins avant la Date de début : 100 % des Frais de scolarité.
4.3.2. Dans le cas d’un Transfert, cet Accord restera applicable au Programme de transfert. En cas d’augmentation des Frais de scolarité entre le Programme d’origine et le Programme de transfert, le Participant (en cas d’auto-financement) ou l’Entreprise (en cas de financement par l’Entreprise), accepte de payer l’augmentation des Frais de scolarité avant la Date de début du Programme de transfert selon les modalités de la clause 4.1 ci-dessus.
4.3.3. Dans le cas d’une Annulation, si l’Entreprise souhaite proposer un nouveau candidat en remplacement du Participant, ce nouveau candidat devra se soumettre à la procédure d’Admission de
Conditions Générales Open Enrolment Programmes l’INSEAD. Si le nouveau candidat au Programme est accepté par l’INSEAD, aucun frais d’annulation ne sera appliqué.
4.3.4. Aucune demande de transfert à un autre Programme, ni aucun changement de Participant, ne sera autorisé après la Date de début.
4.4. Lorsque le programme est facturé à un client basé sur le même territoire que le campus de l’une des entités de INSEAD, cette entité factura le client directement.
5. Propriété intellectuelle
Toute la propriété intellectuelle contenue dans les matériels conçus et/ou développés par l’INSEAD et utilisés dans le Programme, y compris les réalisations pédagogiques, les plateformes, les webinaires, les enregistrements vidéo et tous les outils et documents en ligne développés pour l’évaluation des étudiants, l’engagement académique, les feedbacks et d’autres objectifs liés au Programme, appartiennent à l’INSEAD (« Propriété intellectuelle de l’INSEAD »). L’INSEAD peut utiliser la Propriété intellectuelle de l’INSEAD pour le développement d’autres Programmes dans le cadre de ses services académiques.
L’INSEAD accorde au Participant un droit et une licence perpétuels, non exclusifs, libres de redevance, entièrement acquittés et non transférables pour avoir accès à, visualiser et utiliser la Propriété intellectuelle de l’INSEAD, et ce, uniquement aux fins de recevoir des instructions et de participer au Programme. Afin de lever toute ambiguïté, la licence accordée par l’INSEAD n’inclut pas les droits de céder, vendre ou accorder des licences sur la Propriété intellectuelle de l’INSEAD à un quelconque Tiers, ou de réutiliser ou reproduire la Propriété intellectuelle de l’INSEAD à quelque autre fin que ce soit, et notamment à des fins de communication interne et de formation, de modifier ou adapter la Propriété intellectuelle de l’INSEAD à quelque fin que ce soit, de communiquer, afficher, télécharger ou publier la Propriété intellectuelle de l’INSEAD sur quelque média que ce soit, ou d’utiliser la Propriété intellectuelle de l’INSEAD de toute autre façon qui ne soit pas conforme à la conduite du Programme. Les Participants et l’Entreprise observeront les exigences légales en matière de droits d’auteur pour tous les matériels de l’INSEAD.
6. Pertes et Dommages
L’INSEAD décline toute responsabilité en cas de perte ou dommage aux biens du Participant ou de l’Entreprise qui adviendrait durant la réalisation du Programme. Le Participant doit veiller à ne laisser aucun effet personnel sans surveillance à aucun moment.
7. Données personnelles
Le Participant et l’Entreprise consentent par la présente au transfert de leurs Données personnelles aux représentants et divisions de l’INSEAD situés en dehors de l’Union européenne, en sachant que l’INSEAD en garantit la confidentialité et la sécurité. Le transfert est supervisé conformément aux exigences du Règlement Général de Protection des Données n° 2016/679/UE du 27 avril 2016. Le Participant et l’Entreprise reconnaissent et acceptent que les Données personnelles fournies ou collectées par l’INSEAD par la présente ou (lorsque la candidature est acceptée) au cours du Programme, peuvent être utilisées ou divulguées aux fins de : gestion des admissions, gestion des données académiques, gestion pédagogique des cours, amélioration de la qualité des services, conduite d’enquêtes et de sondages en relation avec le Programme, coaching et marketing direct (sous réserve du consentement du Participant ou de l’Entreprise). Le Participant et l’Entreprise consentent et autorisent par les présentes l’INSEAD à collecter, utiliser ou divulguer de telles Données personnelles. Certains des Open Enrolment Programmes peuvent accorder au Participant le statut d’Alumni (ancien élève), selon la politique de l’INSEAD sur les alumni. Dans ce cas, les Données personnelles peuvent être utilisées à des fins de collecte de fonds, devoir de vigilance, gestion des relations entre anciens élèves, organisation et gestion d’événements. Les Données personnelles recueillies lors de la candidature sont confidentielles, sécurisées et conformes aux législations locales. L’INSEAD ne

Le Participant et l’Entreprise bénéficient des droits d’accès, de modification, de mise à jour, de suppression et de limitation du traitement de leurs Données personnelles (Loi n°78-17 du 6 janvier 1978 « relative à l’Informatique, aux Fichiers et aux Libertés » modifiée par le Règlement Général de Protection des Données n°2016/679/UE du 27 avril 2016 tel qu’amendé. Le Participant et l’Entreprise peuvent exercer ces droits à tout moment en adressant un courrier électronique à l’INSEAD, à l’adresse indiquée ci-dessous, accompagné d’une preuve d’identité valide : INSEAD, Executive Education, Boulevard de Constance, 77305 Fontainebleau Cedex, France. Email : [email protected]. Le Participant et l’Entreprise ont le droit, pour des raisons impérieuses et légitimes, de s’opposer à la collecte et au traitement de leurs données personnelles. 7.1. Le Participant et l’Entreprise consentent également à la prise de photographies et/ou de films vidéo au cours du Programme du Participant, et à la reproduction et diffusion de ces photographies et/ou films vidéo par l’INSEAD. Ces droits s’appliquent quels que soient les supports médiatiques utilisés, y compris, mais non exclusivement, tout processus de reproduction des images, quels que soient leurs formes et formats actuels ou futurs, et s’appliquent à tout type de public.
8. Droit applicable et juridiction compétente
8.1. En cas de litige, réclamation, contestation ou désaccord au sujet de cet Accord, ou de toute violation de l’Accord, les parties mettront tout en oeuvre pour régler le litige, la réclamation, la contestation ou le désaccord. A cette fin, elles se consulteront et négocieront de bonne foi et, conscientes de leurs intérêts mutuels, tenteront de parvenir à une solution juste, équitable et acceptable par les parties. Faute de solution satisfaisante obtenue dans les trente (30) jours, et après notification préalable par l’une des parties à l’autre, tous les litiges, réclamations, contestations ou divergences feront l’objet d’un recours devant le tribunal. L’affaire sera portée devant les juridictions du pays de la partie contre laquelle aura été lancée la procédure en justice.
8.2. Le litige sera soumis au tribunal du siège social de l’Entreprise et selon la législation du siège social de l’Entreprise si l’INSEAD ou un Affilié lance une procédure d’assignation. Le litige sera soumis au tribunal du siège social de l’INSEAD et selon la législation du siège social de l’INSEAD si l’Entreprise lance la procédure d’assignation. Le jugement et les indemnités seront considérés comme définitifs et ayant autorité de chose jugée.
9. Confidentialité/ Intégralité de l’Accord/ Législation applicable
9.1. L’INSEAD respectera la nature confidentielle de toutes les Informations confidentielles qui pourraient être recueillies dans l’exécution du Programme. Toutes les Parties au présent Accord ne divulgueront ou ne communiqueront à quiconque, ou n’utiliseront ou n’exploiteront à quelque fin que ce soit les Informations confidentielles des autres Parties, et chaque Partie mettra tout en oeuvre pour empêcher que ses employés, affiliés ou agents ne le fassent. Chaque Partie peut divulguer des Informations confidentielles à ses employés, uniquement afin d’exercer ses droits et de remplir ses obligations au titre du présent Accord. L’obligation de respect de la confidentialité dont il est fait état dans cette clause ne s’appliquera pas à des Informations confidentielles qui : (1) sont ou tombent dans le domaine public sur une base de non-confidentialité, sans que ce soit le fait de la Partie destinataire ; (2) sont reçues de bonne foi par la Partie destinataire en provenance d’un Tiers qui, après enquête raisonnable de la Partie destinataire, s’avère n’avoir aucune obligation de confidentialité envers la Partie divulgatrice et n’impose aucune obligation de confidentialité à la Partie destinataire ; (3) doivent être divulguées par la loi ou par ordonnance judiciaire.
9.2. Aucune condition générale contenue ou annexée ou émise au nom du Participant ou de l’Entreprise dans tout bon de commande ou document équivalent ne s’appliquera aux services indiqués dans le présent Accord. En cas de conflit entre le présent Accord et tout autre document produit par l’INSEAD, le Participant ou l’Entreprise, les termes du présent Accord prévaudront.

9.3. Chacune des Parties accepte de respecter toutes les lois et réglementations applicables dans tous les lieux où elle opère, et confirme qu’elle ne violera aucune loi dans l’exécution de ses services. Chacune des Parties sera en conformité et veillera à ce que ces dirigeants, ses membres, ses employés, ses fournisseurs, ses sous-traitants ou agents (« Personnel ») respectent toute la législation en vigueur, y compris celle liée à des malversations, à la corruption, au blanchiment d’argent, aux dessous-de-table, à la fraude fiscale, aux sanctions économiques, aux autorisations et restrictions de produits chimiques, à la santé et la sécurité, à l’esclavage, au trafic d’êtres humains et à l’esclavage moderne, et à toute autre pratique commerciale interdite, et ne devraient pas participer ni encourager d’autres à participer à toute activité illégale ou illicite. Chacune des Parties, ses filiales et affiliés, n’ont pas offert, promis, accepté ou fait un paiement quel qu’il soit, ou donné un cadeau (en argent ou autre chose de valeur) à autrui, directement ou indirectement, dans le but d’influencer ou d’amener une personne à jouer de son influence pour favoriser l’INSEAD ou l’une de ses filiales ou l’un de ses affiliés. Chacune des Parties déclare que (1) elle n’a pas payé, (2) qu’elle ne s’est pas engagée à payer et (3) qu’elle ne paiera pas directement ou par l’intermédiaire de son Personnel ou de ses entités agissant en son nom, toute commission, facilitation de paiement ou incitation à payer par rapport à cet Accord.
