There has been plenty of academic and professional attention and discussion on the corporate governance front, as a result of the financial crisis. Corporate Governance & Leadership is one of the course topics offered under the Key Management Challenges in the INSEAD Global Executive MBA (GEMBA). It takes a broad organisational view of governance, examining start-up as well not-for-profit organisations (where proper governance is on average more difficult), and of course dealing with governance inside the corporation. The main focus in the subject is on governance as exercised by the board and the board’s impact on the organisation, the conditions for mutually satisfactory relations between board members, executive, shareholders and other stakeholders, and more generally for board effectiveness.

Executive Master in Finance Capstone
Fair process leadership and governance is one of the four courses covered in the Executive Master in Finance (EMFIN) Capstone curriculum. The course explores ways to create value and to overcome common as well as complex organisational issues at the top of the company by applying a “Fair Process” approach. By introducing a framework to define and operationalise the process, students will learn how to use it to create value and achieve alignment among board members and between the board and the CEO. This course is very strategic and is meant to provide a final overall view of the decisional process within financial organisations.

ecoDa European Board Diploma
ecoDa, the European Confederation of Directors Associations, has developed a European module for directors and supervisory board members seeking to gain a European perspective on board functioning and corporate governance. The INSEAD Corporate Governance Centre is an academic partner to ecoDa.
ICGC faculty designs and delivers a specific half-day session devoted to a board simulation that provides directors with a live experience of the workings of a real board of directors concerned with a challenging transaction.
Both organisations engage in exchanging best practices and benchmarks on European corporate governance to their respective members.

INSEAD offers educational programmes for corporate boards, shareholders (e.g. of family firms), not-for-profit organisations and government agencies.
Directors of Partner Development exchange with board representatives and faculty in designing programmes that are customised to a particular board’s needs. These can be provided as stand-alone modules on or away from campus, or alongside a board or shareholder meeting.
