Redefining Sustainability Governance in COVID-19 Crisis?

Organised by the INSEAD Corporate Governance Centre (ICGC), in collaboration with the Hoffmann Global Institute for Business and Society (HGIBS) and World Business Council for Sustainable Development (WBCSD)

The business world is undergoing tremendous changes in the face of disruptive forces. From public health crisis to seismic shifts in global economic outlook, social instability and environmental challenges, corporate boards and business leaders are under intense pressure to navigate the highly complex landscape with a long-term strategic vision and smarter than rational decision-making. It is time to develop governance capabilities to combine performance with meaning.

Organised by the INSEAD Corporate Governance Centre, in collaboration with the Hoffmann Global Institute for Business and Society and the World Business Council for Sustainable Development, the Webinar and Digital Dialogue session will explore the key drivers that are shaping the global landscape today and the imperative for corporate boards to taking a leading stand in advancing sustainability agenda from the boardroom. To govern sustainability amid times of increased uncertainties and risks, it is critical to establish stakeholders engagement and harness wise power. Through an innovative multi-lens approach which galvanises the benefit of cognitive analysis with emotional affiliation, board directors and business leaders will be motivated to expand their perspectives to formulate the best decision among a repertoire of responses to bring alignment to vision, purpose and action under challenging circumstances.

Led by Professor Marc Le Menestrel, Affiliate Professor of Decision Sciences, Professor Ludo Van der Heyden, INSEAD Chaired Professor of Corporate Governance and Philippe Joubert, Founder and CEO of Earth on Board, Trustee of Client Earth and Senior Adviser and Special Envoy Energy and Climate at WBCSD, the session will draw insights from faculty as well as leading experts, board members and panelists who will share their journey in governing sustainability in challenging times followed by practical workshops.

  • Workshop 1: Modernising Governance: Practical Resources for Directors facilitated by Mario Abela

    The common assumption that shareholder primacy is the objective of good governance is facing challenge. No longer can board directors consider shareholder wealth maximisation without regarding the needs of other stakeholders. Value creation should be value to all stakeholders. The role of the board is changing and to ensure directors maintain their duties and fiduciary responsibilities it is necessary to modernize governance.

    The purpose of this workshop is to:

    • guide directors through a series of scenarios whereby they consider in a practical way how environmental, social and governance considerations can be integrated into their holistic decision-making

    • consider the maturity of their board in understanding and integrating these challenges

    • share recently launched WBCSD resources to support this embedding.

    The workshop will focus on existing board responsibilities and consider the extent to which sustainability is integrated into the purpose and business model, risk management and non-financial reporting. This workshop also takes directors through the importance of engaging with management but also stakeholders more broadly.

  • Workshop 2: Understanding and Integrating ESG-related Risks into Enterprise Risk Management facilitated by Rodney Irwin

    Boards are increasingly being faced with the changing and disruptive impacts of environmental and social issues which are challenging traditional approaches to managing risks. Board oversight of ESG-related risks is critical to business success and long-term strategic resilience. Understanding and oversight of the risks and opportunities that the changing landscape presents to business demands that at the highest level, there is consideration to the impact on the business model and achievement of strategic objectives. This workshop that seeks to address some of the environmental and social challenges facing Board Directors today. 

    The purpose of this workshop is to:

    • guide directors through an understand of their legal obligations in providing effective oversight of risks;

    • appreciate the impacts that environmental and social issues on your business model;

    • practical tools on how to exercise that oversight by providing challenge to management.

    The workshop will be practical and deal with real scenarios facing business today.

  • Workshop 3: The Sustainability Imperative: A View from the Chair facilitated by Prof. Marc Le Menestrel

    In this workshop, we will look at sustainability from the inside-out. Participants are requested to read the preparatory case-study which is depicting the introspection of the Chair of a large financial fund on strategic sustainability. Dejected after an argument with his/her daughter, the Chair reflects on his/her failure to convince. Progressively, the Chair uncovers the many facets and layers that prevent him/her to embrace the topic for what it truly is.  In the workshop, we will review a few keys to open the door towards a smarter than rational approach to sustainability: a path to reconnect with your purpose and with the meaning of it all.
